CONSTITUTION (2004 Version)

SECTION I GENERAL

Article 1 : Name
The name of the Union in full shall be ‘The Hong Kong Green Nature Union [GNU], and the name in Chinese is “香港綠色自然聯盟”, the name in French in full shall be “L'association d'écologie”, Abbreviate in “Écologie”..

Article 2 : Purpose
The Purposes of the GNU shall be:

Article 3 : The director shall be the head of GNU

Article 4 : English , French and Chinese shall be the Official languages of the GNU

Section II Membership

Article 1 : The people who fill in the application and joining form shall automatically be members or committee members of the GNU.

Article 2 : All members / committee members of the GNU shall pay the prescribed annual fee minimum of $100 of any amount to be approved by A.F.D.

Article 3 : No members shall be allowed to withdraw from the GNU by himself unless he/she fill in a withdraw form or have special reasons.

Article 4 : All consultants shall be eligible for Honorary membership.

Article 5 : The Union’s Advisers and consultants, or assistant consultants who are experts in the society, shall be appointed or approval by the senior committees.

SECTION III PRESIDENT / DIRECTOR

Article 1 : The President / Director of the GNU shall have the right to choose members or committee members from anywhere such as schools or universities for organizing his cabinet or administrative units.

Article 2 : The President / Director, with the help of the cabinet / administrative units, is responsible for administering the GNU in his/her assume period.

SECTION IV CABINET / ADMINISTRATIVE UNITS

Article 1 : The cabinet / administrative units of the GNU shall be composed of a Vice-President / Director ( but not exist ), senior committees / senior cabinet, Internal Secretary, External Secretary, Financial minister (Treasurer), Secretary of Press and Secretary of Sports. On the whole, these posts are including in the eight main departments : Administrative department, advisor & consultant department, accounting & financial department, SS department, CDTS department, planning department, study & research department, promote & information department.

(1) The Vice-President / Director shall be the Chief assistant of the President / Director, and shall act on behalf of the President / Director when the president / director is absent or dismissed.
(2) The Internal Secretary shall be responsible for all official correspondence of the GNU, keep the official documents and records of the GNU, make agendas and minutes of all meetings of the GNU and look after the welfare of the students.
(3) The External Secretary shall be responsible for the upkeep of the property of the GNU and the liaison with other Associations outside.
(4) The Financial minister (Treasurer) shall be the bookkeeper and be responsible for the paying-in and paying-out of the GNU
(5) The Secretary of Press shall issue and check all official press releases and posters of the GNU, and be in charge of the propaganda of the school and the school newspaper.
(6) The Secretary of Sports shall be responsible for all sports affairs of the GNU

Article 2 : The Director shall have the power to dismiss any officer considered unsuitable.

SECTION V ELECTTION

Article 1 : No elections shall be hold in the union unless other special cases.

* Other rules and procedures of election shall be referred to the ‘Appendix’ for Election of the President of the S.B.S.A.

SECTION VI CONGRESS

Article 1 : Status
The Congress of the GNU shall be the sole representative of the members as a whole in affairs both inside and outside the union with the approval of the director. The Congress of the GNU shall be responsible to the union authorities represented by the director of the school, and the committees or members. The decision of the Congress of the GNU shall possess a higher authority than the decision of any other committees or members even departments in the union.

Article 2 : Officers
The Congress of the GNU shall be composed of the President / Director of the GNU, cabinet of the GNU, and all senior committees. The President / Director of GNU shall be the Chairman of the Congress of the GNU.

Article 3 : The Congress of the GNU shall have the right to give a vote of censure on its officer who infringes the Constitution of the GNU, neglects his duty or behaves improperly. The officer on whom the vote of censure is given shall resign accordingly.

Article 4 : Any motion to discuss the discontinuance of officers’ office be carried only by two-thirds of the quorum.

Article 5 : Meeting
(1) The Congress of the GNU shall hold meeting in the presence of the director, department’s heads or consultants. At the meeting, the GNU shall announce the work, activities and financial reports, and propose the projects of future work and activities.
(2) The President / Director of the GNU shall convene extraordinary meetings for the Congress of the GNU when considered necessary, and must convene extraordinary meeting within a week of the date that one-third of the members of more of the Congress of the GNU demand so.
(3) The Internal Secretary of the GNU should keep file of all minutes.

Article 6 : Any new motion of meeting of the Congress of the GNU shall be mentioned to the director, department’s heads or consultants a day before its introduction. Then he may explain the matter concerned to the union authorities.

Article 7 : The shall director, department’s heads or consultants attend every meeting of the Congress of the GNU to show the importance of such meeting.

Article 8 : Any officer of the Congress of the GNU who requests absence from meeting of the Congress of the GNU shall give the reasons and ask for the permission of the director, department’s heads or consultants before the meeting, or he shall be subject to sanction by the director, department’s heads or consultants

Article 9 : A resolution that the GNU be wound up shall be a special resolution. A special resolution would be subject to the final approval of the director. The assets of the GNU would then be liquidated for charity purposes.

SECTION VII GENERAL MEETING.

Article 1 : The GNU shall convene General Meeting for all members of the GNU whenever necessary.

Article 2 : A motion shall be carried by a simple majority of votes at General Meeting.

Article 3 : The business of every General Meeting shall be to adopt the minutes of the last General Meeting.

Article 4 : Notice and agenda of every General Meeting shall be put up at least two days before the Meeting is held.

Article 5 : For all purpose the quorum for a general meeting shall be one-third of the members present in person.

SECTION VIII RESERVE FUND

Article 1 : The annual surplus of the GNU shall be deposited in the reserve fund of the GNU. The reserve fund shall be appropriated when considered necessary and approved by the Congress of the GNU.

SECTION IX DEPARTMENT & UNITS

Article 1 : All departments and units in the school are extracurricular bodies which shall be established in accordance with the members’ interests on academics and sports. The purpose shall be to provide members with various wholesome academic and recreational activities.

SECTION X DEPARTMENT & UNITS REPRESENTATIVES OR HEADS

Article 1 : Each departments and units shall have at least one representatives or heads.

Article 2 : All representatives and heads shall be officers of the Congress of the GNU.

SECTION XI CONSTITUTION

Article 1 : The constitution of the GNU shall be interpreted in Chinese.

Article 2 The constitution of the GNU shall be altered or amended only when considered necessary by the congress of the GNU Amendment made by the congress of the GNU shall be subject to the approval of the director.
